Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and SmartPantry governing your access to and use of the SmartPantry website, applications, and related services (together, the "Service"). Please read them carefully.
SmartPantry is operated by Mateusz Rogalski, a sole trader conducting business under the trade name "mrogal.ski" (Polish: jednoosobowa działalność gospodarcza), entered in the Central Register and Information on Economic Activity of the Republic of Poland (CEIDG), NIP [NIP], REGON [REGON], principal place of business at [registered address], Poland ("SmartPantry", "we", "us", "our"). 1. Acceptance of Terms
By creating an account, clicking to accept, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Service Agreement and Privacy Policy, each incorporated by reference. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
2. Definitions
"Service" means the SmartPantry website, web and mobile applications, and all associated features, including recipe management, pantry inventory, shopping lists, meal planning, community/social features, health and nutrition tracking, and subscription billing.
"User Content" means any recipe, image, pantry data, meal plan, note, or other content you create, upload, or submit to the Service.
"Account" means the registered user account through which you access the Service.
"Premium" means a paid subscription tier providing access to additional features, as described in the Service Agreement.
3. Eligibility
You must be at least 13 years old to create an Account. If you are between 13 and 16 years old, you may only use the Service with the consent of a parent or legal guardian, who accepts these Terms on your behalf and is responsible for your compliance with them.
You represent that you have the legal capacity to enter into a binding contract under the law applicable to you. By creating an Account, you confirm that the information you provide is accurate and that you meet these eligibility requirements.
4. Account Registration & Security
You must provide a valid email address and a password meeting our security requirements to register. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
You must notify us promptly at [support contact email] if you become aware of any unauthorized use of your Account. We are not liable for any loss arising from unauthorized use of your Account that occurs before you notify us, except where such loss results from our own breach of these Terms or applicable law.
We may suspend or terminate your Account as described in Section 13 if we reasonably believe it has been compromised, misused, or used in violation of these Terms.
5. Description of the Service
SmartPantry provides tools to create and share recipes; track pantry inventory across one or more pantries; generate and manage shopping lists, including automatic threshold-based suggestions; build and share meal plans and templates; follow other users and receive notifications about their activity; and, optionally, log health and nutrition metrics.
We are continuously developing the Service. Features may be added, changed, or removed, and we do not guarantee that any specific feature will remain available indefinitely. We will use reasonable efforts to give you advance notice of material feature removals affecting paid functionality.
6. User Content & License Grant
You retain all ownership rights in the User Content you submit to the Service. By submitting User Content, you grant SmartPantry a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that User Content solely as necessary to operate the Service and in accordance with the visibility and sharing settings you choose (Private, Protected/shared, or Public).
You represent and warrant that you own or have the necessary rights to submit your User Content, and that it does not infringe the intellectual property, privacy, or other rights of any third party.
If you set a recipe, pantry, or meal plan to Public visibility, you understand that it becomes accessible to any visitor of the Service, including people who are not registered users, until you change its visibility or delete it.
7. Sharing & Collaboration Features
The Service allows you to share pantries, recipes, and meal plans with specific people you choose, with read-only or, for pantries, read-write access. You are responsible for the people you choose to share with and for any actions they take using access you've granted them, including additions, edits, or deletions made under read-write pantry access.
You may revoke access you've granted at any time. Revocation takes effect for future access; it does not undo actions already taken by a collaborator while they had access.
8. Acceptable Use
You agree not to: upload or share content that is unlawful, defamatory, infringing, or that violates the rights of others; impersonate any person or entity; attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems; interfere with or disrupt the integrity or performance of the Service, including through scraping, automated data collection, or attempts to circumvent rate limits or access controls; upload malicious code; or use the Service for any purpose that is fraudulent or harmful to SmartPantry, other users, or third parties.
We may investigate suspected violations and take action we deem appropriate, including removing content, issuing warnings, and suspending or terminating accounts, without prior notice where we reasonably believe it necessary to protect the Service or its users.
9. Health & Nutrition Features Disclaimer
The health and nutrition tracking features of the Service are provided for general informational and personal tracking purposes only. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition, and they do not constitute medical, dietary, or professional health advice.
You should consult a qualified physician, registered dietitian, or other healthcare professional before making decisions about your diet, exercise, medication, or any health condition, and before relying on any data, calculation, or summary shown in the Service. Nutrition and allergen information is derived from ingredient database entries and user-submitted recipes and may be incomplete or inaccurate — see Section 12.
You are solely responsible for the health data you choose to log and for decisions you make based on it. SmartPantry is not liable for any health-related outcome arising from your use of, or reliance on, these features, except to the extent such liability cannot be excluded under mandatory law.
10. Subscriptions & Payments
Certain features require a paid Premium subscription. Pricing, billing cycles, cancellation, and refund terms are set out in our Service Agreement, which forms part of these Terms. By subscribing, you also agree to the Service Agreement.
11. Intellectual Property
The Service, including its software, design, branding, and all content we create (excluding User Content), is owned by SmartPantry or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the rights expressly granted to you to use the Service, no other rights are granted, whether by implication, estoppel, or otherwise.
You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the Service, except to the extent such restriction is prohibited by applicable law.
12. Ingredient Data, Nutrition & Allergen Disclaimer
Ingredient, nutrition, and allergen information in the Service is compiled from third-party and user-submitted sources and is provided "as is," without warranty of accuracy, completeness, or currency. Recipes may also be created and shared by other users, whose content we do not independently verify.
If you have a food allergy, intolerance, or medical dietary restriction, you must independently verify ingredients and nutrition information before consuming any food prepared using the Service — never rely solely on allergen tags or nutrition summaries shown in the app. SmartPantry is not liable for any adverse reaction, injury, or harm resulting from inaccurate, incomplete, or missing ingredient, allergen, or nutrition data, except to the extent such liability cannot be excluded under mandatory law.
13. Suspension & Termination
You may stop using the Service and delete your Account at any time through Account Settings; deletion is immediate and permanent, as described in our Privacy Policy.
We may suspend or terminate your access to the Service, with notice where reasonably practicable, if you materially breach these Terms, the Service Agreement, or applicable law, or if we reasonably believe such action is necessary to protect the Service, other users, or third parties. We may also terminate the Service, or particular features, in accordance with Section 20 (Miscellaneous) and the Service Agreement.
Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 11, 12, 15, 16, and 17) will survive.
14. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent such warranties cannot be excluded under mandatory law (including statutory warranties available to consumers under Polish and EU law, which are not affected by this Section).
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defect will be corrected, although we target the availability and support commitments described in our Service Agreement.
15. Limitation of Liability
To the maximum extent permitted by applicable law, SmartPantry's total liability to you for any claim arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, is limited to the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) PLN 500.
To the maximum extent permitted by applicable law, SmartPantry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising from your use of, or inability to use, the Service.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for willful misconduct or gross negligence, nor does it affect any statutory rights you have as a consumer under Polish or EU law that cannot be waived by agreement.
16. Indemnification
You agree to indemnify and hold harmless SmartPantry (Mateusz Rogalski) and its employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your breach of these Terms, or your violation of any law or the rights of a third party, except to the extent caused by our own breach of these Terms or applicable law.
17. Governing Law
These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-laws principles, except that if you are a consumer habitually resident in another EU member state, you also retain the benefit of any mandatory consumer-protection provisions of the law of that state that cannot be derogated from by agreement.
18. Dispute Resolution & Jurisdiction
We encourage you to contact us first at [support contact email] to resolve any dispute informally. If we are unable to resolve a dispute informally, subject to any mandatory consumer-protection rules giving you the right to bring proceedings in the courts of your own country of residence, disputes will be subject to the exclusive jurisdiction of the competent courts of Poland.
If you are a consumer resident in the EU, you may also submit a complaint through the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr, and, for disputes with a Polish trader, to a competent Polish consumer alternative dispute resolution body (Polubowne Sądy Konsumenckie).
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or an in-app notice at least 14 days before the changes take effect, except where a shorter period is required to address a legal, security, or urgent operational need. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of them; if you do not agree, you must stop using the Service and may delete your Account.
20. Miscellaneous
Entire Agreement: These Terms, together with the Service Agreement and Privacy Policy, constitute the entire agreement between you and SmartPantry regarding the Service, superseding any prior agreements on this subject.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a sale, transfer, or incorporation of the business, subject to Section 7 of our Privacy Policy.
Force Majeure: We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
