Service Agreement

This Service Agreement ("SA") sets out the specific commercial and operational terms of the SmartPantry service relationship, including subscription plans, billing, availability, and support. It supplements, and forms part of, our Terms of Service.

This Agreement is entered into between you and Mateusz Rogalski, a sole trader conducting business under the trade name "mrogal.ski" (Polish: jednoosobowa działalność gospodarcza), entered in the Central Register and Information on Economic Activity of the Republic of Poland (CEIDG), NIP [NIP], REGON [REGON], principal place of business at [registered address], Poland ("SmartPantry", "we", "us"). 1. Purpose & Relationship to the Terms of Service

This Agreement describes the plans, fees, billing mechanics, availability targets, and support commitments applicable to your use of SmartPantry. It is incorporated into, and should be read together with, our Terms of Service. In the event of a direct conflict between this Agreement and the Terms of Service on a matter specifically addressed here (such as billing or cancellation), this Agreement controls; on all other matters, the Terms of Service control.

By accepting this Agreement during registration, or by purchasing a Premium subscription, you agree to be bound by its terms.

2. Service Scope

The Service comprises the following functional areas, each of which may be updated, extended, or modified over time as described in Section 11: account and identity management; recipe creation and sharing; pantry inventory and shopping list management, including threshold-based restock suggestions; meal planning, including templates and sharing; community following and activity notifications; health and nutrition tracking; and subscription billing.

Some functionality within these areas is reserved for Premium subscribers, as indicated in the app at the relevant feature.

3. Subscription Plans & Fees

SmartPantry offers a Free plan and one or more paid Premium plans. Current plans, features, billing cycles, and prices are displayed in the app before you subscribe and are managed through our payment processor, Stripe; displayed prices are the authoritative, current pricing and supersede any prior price referenced elsewhere.

We may change our plans or prices. For existing subscribers, a price increase will not take effect until your next renewal following at least 30 days' advance notice by email or in-app notice; you may cancel before the new price applies without penalty.

4. Billing, Renewal & Payment Processing

Premium subscriptions are billed in advance on the billing cycle you select (e.g. monthly) and automatically renew at the end of each cycle unless you cancel before the renewal date, as described in Section 6.

Payments are processed by Stripe, Inc. acting as our payment processor. By subscribing, you also agree to Stripe's applicable terms governing the payment method you provide. We do not store your full card number; billing data we retain is limited to plan, cycle, currency, amount, and transaction status.

If a payment fails, we may retry the charge, suspend Premium access until payment succeeds, and notify you by email. Continued non-payment may result in downgrade to the Free plan.

5. Right of Withdrawal (EU Consumers)

If you are a consumer resident in the EU, you generally have the right to withdraw from a distance contract within 14 days without giving a reason, under the Polish Consumer Rights Act (implementing EU Directive 2011/83/EU).

Because a Premium subscription provides digital content and services that begin immediately upon payment, by subscribing and expressly requesting immediate access, you acknowledge that performance begins right away and, to the extent permitted by law, you expressly consent to the immediate performance of the Agreement and acknowledge that you lose your right of withdrawal once the service has been fully performed, or, for ongoing subscriptions, in proportion to the service already supplied before any withdrawal request. Where the right of withdrawal still applies, you may exercise it by contacting [billing contact email] within 14 days of subscribing.

6. Cancellation Policy

You may cancel your Premium subscription at any time from Account Settings. Cancellation stops future auto-renewal; you retain Premium access until the end of the billing period you have already paid for, after which your account reverts to the Free plan.

Except where required by the withdrawal right in Section 5 or other mandatory consumer law, we do not provide refunds or credits for partial billing periods, unused features, or voluntary downgrades. We may, at our discretion, issue refunds on a case-by-case basis, including for billing errors.

7. Service Availability

We work to keep the Service available and reliable, and we target monthly uptime of at least 99% for core account, authentication, and Premium billing functionality, measured across our infrastructure. This is a target, not a guaranteed service level, and we do not currently offer service credits or other financial remedies for failing to meet it.

The Service may be temporarily unavailable due to maintenance (see Section 9), factors outside our control (including third-party infrastructure, network, or payment-processor outages), or issues arising from the current stage of the product's development. We will use reasonable efforts to communicate significant planned or unplanned outages through the app or by email.

8. Support

Support is available by email at [support contact email] to all users. We target an initial response within 3 business days for Free-plan users and within 1 business day for Premium subscribers, though these are internal targets rather than contractually guaranteed response times.

Support covers account access issues, billing questions, bug reports, and general usage questions. It does not include custom development, data recovery beyond our standard backup practices, or professional/medical advice of any kind.

9. Maintenance & Scheduled Downtime

We may perform scheduled maintenance that temporarily limits or interrupts access to the Service. Where reasonably practicable, we will schedule maintenance during low-usage periods and provide advance notice through the app for maintenance expected to cause more than brief disruption.

10. Data Processing During the Service Relationship

Our collection, use, and protection of your personal data in connection with this Agreement, including billing and subscription data, is governed by our Privacy Policy, which is incorporated by reference.

11. Service Modifications & Feature Deprecation

We may add, change, or discontinue features of the Service at our discretion as the product evolves. Where we discontinue a feature that is material to Premium functionality you are actively paying for, we will provide at least 30 days' advance notice by email or in-app notice, and, where reasonably practicable, offer a pro-rated refund or credit for the affected billing period if you choose to cancel as a result.

12. Term & Termination of This Agreement

This Agreement takes effect when you accept it and continues for as long as you maintain an Account or an active subscription, whichever is longer. Either party may terminate as permitted under the Terms of Service (Section 13) or this Agreement. Provisions of this Agreement that by their nature should survive termination (including Sections 4, 6, 13, and 14) will survive.

13. Liability

The limitations and exclusions of liability set out in Section 15 of our Terms of Service apply equally to this Agreement and to all matters arising from billing, availability, and support commitments described here.

14. Entire Agreement & Order of Precedence

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and SmartPantry regarding your subscription and use of the Service. Where these documents conflict on a matter this Agreement specifically addresses, this Agreement controls; otherwise, the Terms of Service control.
